Terms & Conditions and Privacy Policy

1. Definitions

• Account. The registered account used to access the Service.
• Individual (Consumer) Account. A single-user account on the Pro plan, used by one person or a single-user business.
• Business Account. An organization account on the Business plan that supports multiple Authorized Users, shared data, and organization-level administration.
• Order Form / Quote. A written quote, order form, or ordering document issued by Backline Logic and accepted by a Business customer, setting out commercial terms such as the number of Seats, price, and subscription term.
• Authorized User. An individual (such as an employee or contractor of a Business customer) whom the Business customer permits to access the Service under a Seat.
• Seat. A single licensed user position within a Business Account. Each Authorized User occupies one Seat.
• Customer Data. The data, content, and files you or your Authorized Users submit to or generate within the Service, including packs, case libraries, and imported inventory.

2. Accounts & Access

To use Truck Packer, you must create an Account. You are responsible for maintaining the confidentiality of your login credentials and are responsible for all activity that occurs under your Account. You agree to provide accurate information and to keep it current. You must notify us promptly at help@backlinelogic.com if you believe your Account has been compromised. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

3. Subscriptions, Plans & Payments

Truck Packer is offered as a subscription service. All plans may include a free trial as described at the time of sign-up. By subscribing, you agree to the pricing and billing terms presented at the time of purchase or set out in an applicable Order Form.

• Pro. A single-user plan billed monthly or annually to the payment method on file. The subscription renews automatically for successive periods until cancelled.
• Business. A multi-user plan for teams and organizations, priced by quote based on the number of Seats and term. Business subscriptions are typically billed annually in advance, either to a payment method on file or by invoice where agreed in an Order Form.

Unless an Order Form states otherwise, all fees are stated in U.S. dollars and are exclusive of taxes. You are responsible for any sales, use, VAT, or similar taxes, excluding taxes based on our net income. Invoiced amounts, where applicable, are due within thirty (30) days of the invoice date unless a different period is stated on the invoice or Order Form.

4. Business & Organization Customers

This Section 4 applies to Business Accounts and prevails over any conflicting general term in these Terms with respect to Business customers.

4.1 Seats & Administration

A Business Account is licensed for the number of Seats set out in the applicable Order Form or quote. The Business customer designates one or more administrators who may invite, add, and remove Authorized Users and manage organization settings. A Seat may be reassigned from one Authorized User to another (for example, when an employee leaves), but Seats may not be shared by multiple individuals concurrently. If your usage exceeds your licensed Seats, we may work with you to true-up the additional Seats at the applicable rate.

4.2 Subscription Term & Renewal

Business subscriptions run for the term stated in the Order Form (for example, twelve months from the start date). Unless either party gives written notice of non-renewal at least thirty (30) days before the end of the then-current term, the subscription renews for a successive term of equal length. Renewal pricing is the rate stated in the Order Form or, if none, our then-current rate; we will give reasonable advance notice of any material renewal price increase.

4.3 Single Sign-On (SSO), API Access & Priority Support

Business Accounts include single sign-on (SSO), programmatic API access, and priority support. API access is subject to reasonable rate limits and our published documentation, and must not be used to build a competing product or to circumvent Seat limits. Priority support is provided during normal business hours on a commercially reasonable basis.

4.4 Collaboration & Shared Data

Business Accounts support multi-user organizations and collaborative packs. The Business customer is responsible for the acts and omissions of its Authorized Users and for configuring access appropriately among its team.

4.5 Order of Precedence

Where a signed Order Form or quote exists between the Business customer and Backline Logic, its commercial terms (such as Seats, price, and term) control over any conflicting terms on this page. In all other respects, these Terms apply.

4.6 Data Processing

We process personal data contained in Customer Data as described in the Privacy Policy below. A data processing addendum (DPA) is available to Business customers on request at help@backlinelogic.com.

6. Referral Program

We offer a referral discount for users who help us grow our community. If you refer someone who signs up, and you can prove this to us by emailing help@backlinelogic.com, we will issue you a 25% discount code for a future subscription. Limit one code per referral, subject to verification.

7. Software License & Restrictions

Subject to these Terms and your payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable, limited license to access and use the web-based Service for your internal business use during your subscription. You may not:

• Copy, distribute, sublicense, resell, reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent this restriction is prohibited by law.
• Share Account credentials or a Seat with individuals other than the assigned Authorized User.
• Use the Service to build a competing product, or scrape, mirror, or frame the Service.
• Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it.

All rights not expressly granted are reserved by Backline Logic LLC.

8. Customer Data & Ownership

As between you and Backline Logic, you retain all right, title, and interest in your Customer Data. You grant us a limited license to host, process, transmit, and display Customer Data solely as needed to provide and improve the Service and as permitted by the Privacy Policy. You are responsible for the accuracy and legality of your Customer Data and for having the necessary rights to submit it. Following termination, you may request an export of your Customer Data within thirty (30) days; after that period we may delete it in the ordinary course.

9. Confidentiality

Each party may receive non-public information from the other in connection with the Service. The receiving party will use such information only to exercise its rights and perform its obligations under these Terms, and will protect it using at least reasonable care. This does not apply to information that is public through no fault of the receiving party, was already known to it, or is independently developed.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, accuracy, or reliability. To the maximum extent permitted by law, Backline Logic does not warrant that the Service will prevent errors, miscalculations, or non-compliance with applicable laws or regulations. You are solely responsible for verifying the accuracy of any results and for ensuring compliance with applicable weight limits, transportation regulations, and safety standards.

11. Limitation of Liability

In no event shall Backline Logic LLC, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, damages arising from erroneous loading estimates, overweight vehicles, lost profits, or business interruption, even if advised of the possibility of such damages. Our total aggregate liability for any claim related to the Service shall not exceed the amount you paid to us for the Service during the three (3) months preceding the event giving rise to liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless Backline Logic LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to (a) your use or misuse of the Service, (b) errors in input or reliance on Service results, or (c) any claims by third parties related to your use of the Service.

13. Term & Termination

These Terms remain in effect while you use the Service. You may cancel your subscription at any time, effective at the end of the then-current billing period, subject to the No Refund Policy above. We reserve the right to suspend or terminate your access for violation of these Terms, with or without notice. Sections that by their nature should survive termination (including Sections 8, 9, 11, 12, and 15) will survive.

14. Changes to the Service and Terms

We may modify the Service over time and may update these Terms. If we make a material change, we will provide reasonable notice, such as by posting the updated Terms with a new effective date or by email. Your continued use of the Service after an update takes effect constitutes acceptance of the revised Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Davidson County, Tennessee will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to that jurisdiction and venue, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

16. General

These Terms, together with any applicable Order Form and the Privacy Policy, constitute the entire agreement between you and Backline Logic regarding the Service and supersede any prior agreements. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger or sale. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver of that right.
